2.1 What Penry Is Penry is a software-as-a-service (SaaS) platform that provides: • Financial data organization tools • Income and expense tracking • Document generation templates (invoices, quotes, receipts, contracts) • Bank transaction synchronization (via third-party Bridge API) • Tax form export functionality • AI-assisted document generation (via third-party Anthropic API) • Multi-workspace management • Reporting and analytics 2.2 What Penry Is NOT CRITICAL DISCLAIMERS: • Penry is NOT an accounting firm • Penry is NOT a tax preparation service • Penry is NOT a law firm • Penry is NOT an expert-comptable (chartered accountant) • Penry is NOT a financial advisor • Penry is NOT a substitute for professional advice WE DO NOT: • Prepare or file tax returns • Provide accounting advice or services • Provide legal advice • Provide tax advice • Provide financial planning services • Guarantee accuracy of any calculations • Guarantee compliance with any laws or regulations • Act as your accountant, lawyer, or tax advisor YOU ARE SOLELY RESPONSIBLE FOR: • Accuracy of all data you enter • All accounting decisions • All tax filings and payments • Compliance with all applicable laws • Consulting qualified professionals (accountants, lawyers, tax advisors) • Verifying all outputs before use

YOU MUST: • Review all AI-generated documents with a qualified French lawyer (avocat) • Understand that AI can make mistakes • Modify documents as needed for your situation • Seek professional legal advice for important matters • Accept full responsibility for using AI-generated documents 3.3 BANK SYNCHRONIZATION DISCLAIMER BANK SYNC IS PROVIDED VIA THIRD-PARTY (BRIDGE API). We do NOT store your banking passwords or credentials, have direct access to your bank accounts, guarantee accuracy of imported transactions, control the third-party bank sync provider, or guarantee continuous availability of bank sync. AI-generated content (document drafts, expense categorization suggestions, etc.) is created by machine learning algorithms (third-party Anthropic Claude API), NOT created or reviewed by human professionals, NOT guaranteed to be accurate or appropriate, MAY contain errors, hallucinations, or inappropriate content, and PROVIDED "AS IS" without warranties of any kind. 3.5 NO GUARANTEE OF ACCURACY WE DO NOT GUARANTEE ACCURACY OF ANY CALCULATIONS, EXPORTS, OR DATA. All calculations performed by the Service (totals, tax estimates, profit margins, etc.) are based on data YOU provide, subject to software errors or bugs, NOT verified by accounting professionals, and PROVIDED WITHOUT WARRANTIES.

4. USER OBLIGATIONS AND RESPONSIBILITIES

4.1 Accurate Data Entry You are solely responsible for: • Accuracy of all data entered into the Service • Completeness of your financial records • Proper categorization of transactions (even with AI assistance) • Backing up your data outside the Service • Maintaining source documentation (receipts, invoices, contracts) 4.2 Professional Consultation You agree to: • Consult qualified professionals (expert-comptable, avocat, conseiller fiscal) for tax preparation and filing, legal document review, financial planning, and regulatory compliance • NOT rely solely on the Service for professional decisions • Understand that the Service does not replace professional advisors 4.3 Compliance with Laws You are solely responsible for: • Compliance with all French tax laws (Code général des impôts) • Compliance with French accounting standards (Plan Comptable Général) • Compliance with all applicable regulations (URSSAF, DGFIP, etc.) • Timely filing of all required declarations • Payment of all taxes and social contributions • Understanding your legal obligations 4.4 Prohibited Uses You may NOT use the Service to: • Commit fraud or tax evasion • Violate any laws or regulations • Store illegal or inappropriate content • Generate fraudulent documents • Misrepresent financial information • Harm others or violate their rights • Reverse engineer or copy the Service • Resell or redistribute the Service • Share your account with unauthorized users

6.1 Our Property We own all rights to the Penry software, platform, code, brand, logo, trademarks, all Service design, features, functionality, and all documentation and help content. 6.2 Your Data You retain all rights to data you enter into the Service, documents you create using the Service, and your financial information. You grant us a limited license to: • Store and process your data to provide the Service • Use anonymized, aggregated data for analytics • Display your data back to you in the Service • Back up your data for disaster recovery 6.3 AI-Generated Content For AI-generated content: • You own the outputs generated for your account • We do NOT claim ownership of AI-generated documents • Third-party AI provider (Anthropic) has separate terms • AI inputs may be used to improve AI models (see Privacy Policy)

7. DATA PRIVACY AND SECURITY

We process your data in accordance with our Privacy Policy (incorporated by reference), EU General Data Protection Regulation (GDPR), and French Data Protection Act (Loi Informatique et Libertés). We implement: • TLS 1.3 encryption in transit • AES-256 encryption at rest • Bcrypt password hashing • Regular security audits • Access controls and logging • Intrusion detection systems HOWEVER, WE CANNOT GUARANTEE absolute security, prevention of all unauthorized access, protection against all cyber threats, or zero risk of data breaches.

8.1 No Uptime Guarantee WE DO NOT GUARANTEE uninterrupted access to the Service, error-free operation, any specific uptime percentage, or availability at any particular time. 8.2 Service Modifications We may, at any time and without notice: • Modify, suspend, or discontinue any feature • Change the Service design or functionality • Remove or limit features in any plan • Add new features (may require upgrade) • Change technical requirements

9. LIMITATION OF LIABILITY (CRITICAL)

9.1 SERVICE PROVIDED "AS IS" THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties including but not limited to: Merchantability, Fitness for a particular purpose, Non-infringement, Accuracy or reliability, Uninterrupted or error-free operation, Security or freedom from viruses, and Correctness of calculations or outputs. 9.2 No Liability for Financial Losses WE ARE NOT LIABLE FOR: • Tax penalties or interest resulting from errors in tax exports, incorrect categorization, missed deadlines, incomplete or inaccurate data, or reliance on Service for tax preparation • Financial losses including lost profits or revenue, business interruption, lost business opportunities, incorrect financial decisions based on Service data, or accounting errors or omissions • Errors in AI-generated content including incorrect contract language, inappropriate legal terms, missing clauses or provisions, or inaccurate document generation • Bank synchronization issues including incorrect transaction imports, missing transactions, duplicate transactions, categorization errors, or third-party API failures • Data loss or corruption including accidental deletion, technical failures, security breaches, or service discontinuation 9.3 Maximum Liability TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF: The amount you paid to us in the 12 months preceding the claim, OR 100€ (one hundred euros). 9.4 Exclusion of Consequential Damages WE ARE NOT LIABLE FOR: Indirect damages, Consequential damages, Incidental damages, Special damages, Punitive damages, Lost profits, Lost data, Loss of goodwill, or Cost of substitute services. 9.5 French Law Limitations IMPORTANT: French consumer law may limit our ability to exclude certain liabilities. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under French law.

10. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS LAZO GROUP, our officers, directors, employees, contractors, and agents from and against all claims, demands, losses, damages, costs, expenses (including reasonable attorneys' fees) arising from or related to: • Your use of the Service • Your violation of these Terms • Your violation of any laws or regulations • Your violation of third-party rights • Content you submit or generate using the Service • Tax penalties resulting from your use of the Service • Legal issues from documents you generated using the Service • Disputes with your clients, tenants, or other third parties • Your reliance on AI-generated content • Inaccurate data you entered into the Service

11. TERMINATION

11.1 Termination by You You may terminate at any time by: • Canceling your subscription in account settings • Sending written notice to support@penry.fr 11.2 Termination by Us We may terminate your account immediately without notice or refund if you: Violate these Terms, Use the Service for illegal purposes, Engage in fraudulent activity, Abuse or harass our staff, Fail to pay (after 30-day grace period), Pose a security risk, or Use the Service in a way that harms others. 11.3 Effect of Termination Upon termination: • Your access to the Service ends immediately (or at end of billing period) • Your data is retained for 90 days (for reactivation possibility) • After 90 days, your data is permanently deleted • You may export your data before termination • All outstanding fees become immediately due

12. DISPUTE RESOLUTION

12.1 Governing Law These Terms are governed by French law, without regard to conflict of law provisions. 12.2 Jurisdiction For disputes exceeding 5,000€: Exclusive jurisdiction: Courts of Paris, France.
